This Contract between Creator and Platform (this "Agreement") governs the relationship between each Creator and CandFans (the "Platform"), which is owned and operated by Street X Inc. This Agreement sets out the rights and obligations of each Creator in connection with the upload, publication, distribution, and monetisation of Content on or through CandFans.
1. Scope
This Agreement is legally binding on the Creator and applies from the date the Creator registers an account on CandFans and throughout the period of the Creator's use of the Platform. This Agreement applies to the exclusion of any other terms the Creator may propose, unless expressly agreed in writing by the Company.
2. Parties
The parties to this Agreement are the Creator and the Company. The Company operates CandFans and is party to this Agreement in that capacity.
3. Interpretation
- "Company" means Street X Inc., a corporation registered in the United States, Delaware.
- "Content" means any material uploaded to CandFans by the Creator, including without limitation photos, videos, audio, livestream material, data, text, metadata, images, interactive features, and any other material whatsoever.
- "Creator" means a user who has set up a CandFans account to post Content for users to access, view, purchase, or otherwise interact with on or through the Platform.
- "Depicted Person" means any individual who appears in any Content uploaded by the Creator, whether as the Creator themselves or as any third party.
- "CandFans" or "Platform" means the website and services accessible via www.candfans.com, owned and operated by the Company.
- "Standards" means the Platform's Terms of Use, Acceptable Use Policy, Privacy Policy, Complaints Policy, DMCA Policy, and any other policies, rules, guidelines, or standards published by the Company from time to time, as updated.
- "Consent Documentation" means any written consent form, release, confirmation, or other documentary evidence, in whatever format accepted by the Platform, by which a Depicted Person expressly consents to the matters required under this Agreement.
- "Verification Records" means records and supporting materials relating to the identity and age verification of any Depicted Person, in whatever format required or accepted by the Platform.
"Include", "Includes" and "Including" mean without limitation.
4. Prohibited Activities
The Creator must use the Platform in full compliance with all applicable laws and the Standards. The Creator must not upload, publish, distribute, or otherwise make available any Content that:
- is illegal or violates any applicable law or regulation, including any law relating to obscenity, child protection, data protection, privacy, intellectual property, sanctions, anti-money laundering, or consumer protection;
- depicts, promotes, facilitates, or implies child sexual abuse material or the sexual abuse or exploitation of minors, whether real, simulated, live-action, animated, or otherwise;
- depicts bestiality, rape, non-consensual sexual acts, coercion, violence, or any acts performed without the freely given consent of all participating individuals;
- promotes or facilitates human trafficking, sexual exploitation, prostitution, escort services, physical abuse, or any other exploitative or unlawful conduct;
- features any Depicted Person whose identity and age cannot be verified in accordance with the Platform's requirements; or
- otherwise violates applicable card-network standards, payment-partner requirements, the Standards, or any other requirements communicated by the Company from time to time.
5. Consent of Depicted Persons
Prior to uploading any Content featuring a Depicted Person, the Creator must obtain and retain valid Consent Documentation from each such Depicted Person. Such Consent Documentation must cover all of the following:
- consent to be photographed, recorded, and depicted in the relevant Content;
- consent to the upload of the relevant Content to CandFans by the Creator;
- consent to the relevant Content being publicly distributed, publicly made available, displayed, and otherwise made available to users on or through the Platform; and
- where CandFans functionality permits downloads, consent to users downloading the relevant Content.
6. Consent Records and Evidence
The Creator is responsible for ensuring that valid Consent Documentation is obtained from each Depicted Person before any relevant Content is uploaded. The Company may verify compliance on a sample basis at any time and may request copies of Consent Documentation or other evidence of consent from the Creator at any time. The Creator must promptly provide such records and evidence upon request.
7. Age and Identity Verification of Depicted Persons
The Creator represents, warrants, and undertakes that:
- all Depicted Persons appearing in any Content uploaded to CandFans are adults aged 18 years or older at the time the relevant Content was created;
- the identity and age of all Depicted Persons have been verified in the manner required by the Platform before the Creator uploads any Content featuring them; and
- the Creator will maintain or procure the maintenance of complete and accurate Verification Records for all Depicted Persons and will provide such Verification Records for audit, review, or spot-check by the Company upon request.
8. Record Retention
The Creator must retain, or ensure the retention of, all Consent Documentation, Verification Records, and related supporting materials for at least six (6) years after the relevant Content is removed from the Platform or the relevant Creator account is closed, whichever is later, or for any longer period required by applicable law, regulation, the Standards, or the Company's reasonable compliance requirements.
9. Creator Earnings
The Company will pay to the Creator the Creator Earnings in accordance with the Terms of Use and any applicable payout rules, schedules, and payment methods published by the Company from time to time. Platform fees, deductions, payment timing, and payout methods are determined by the Company's applicable terms and policies as updated from time to time.
10. Platform Rights and Enforcement
The Company reserves the right to:
- remove, disable, or suspend any Content that it reasonably believes violates this Agreement, the Standards, applicable law, or payment-partner requirements, with or without prior notice;
- require the Creator to provide Consent Documentation, Verification Records, or any other compliance materials or information reasonably requested by the Company;
- suspend, restrict, or permanently terminate the Creator's account, platform access, monetisation features, or payouts in the event of any actual, suspected, material, or repeated breach of this Agreement or the Standards; and
- report any Content or conduct that it reasonably suspects may constitute a criminal offence, regulatory breach, or other unlawful conduct to the relevant authorities, payment partners, or other appropriate third parties.
11. Applicable Law and Forum for Disputes
To the greatest extent permitted by the laws of the place where the Creator is located, this Agreement is governed by the federal laws of the United States. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United States. Where mandatory local law applies, the Creator may also rely on the protections afforded under the laws of the country in which they are located.
12. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unenforceable, or prohibited by law, the remaining provisions of this Agreement shall remain in full force and effect, and this Agreement shall be construed as though the invalid, unenforceable, or prohibited provision had not been included.
By registering as a Creator on CandFans, the Creator confirms that they have read, understood, and agreed to this Agreement.
